Partner Agreement

Effective Date: April 11, 2026

This Partner Agreement ("Agreement") governs the relationship between DeGenito Innovations, LLC ("Company," "we," "us," or "our") and individuals or entities ("Partner," "you") who participate in our referral and affiliate partner program. By submitting a partner application and having a referred client accepted, you agree to the terms of this Agreement.

1. Commission Structure

For each active paying client you refer to DeGenito Innovations, LLC under the Starter plan or equivalent:

  • Commission amount: $100 USD per referred client, per month, for as long as that client remains active and paying.
  • Activation period: Commissions begin after the referred client has been active and paying for 30 days.
  • Payment date: Commissions are paid on the 1st of each month for the prior month's qualifying referrals.
  • Payment methods: Bank transfer (ACH/wire), PayPal, or Wise. You will specify your preferred method upon acceptance.
  • No clawbacks: Once a commission has been paid, it will not be clawed back unless the original referral was fraudulent or in violation of this Agreement.

2. Marketing Rules and Brand Protection

As a Partner, you represent that all marketing and promotional activities related to DeGenito Innovations, LLC will adhere to the following rules:

  • Accuracy: You will only make truthful, accurate statements about our services, pricing, and results. You may not fabricate testimonials, invent case studies, or misrepresent what the service does.
  • Approved materials: You will use marketing materials provided by us or white-labeled materials approved in writing by us prior to publication. Unapproved materials are not permitted.
  • No false claims: You may not guarantee specific outcomes (e.g., "You will rank #1 on Google"), promise specific revenue results, or misstate our pricing or service terms.
  • Compliance: All marketing activities must comply with applicable laws and regulations, including FTC endorsement guidelines requiring disclosure of your affiliate relationship.

3. Indemnification

You agree to defend, indemnify, and hold harmless DeGenito Innovations, LLC and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your marketing claims or promotional materials
  • Any misrepresentation you make about our services
  • Your breach of this Agreement
  • Your violation of any applicable law or regulation

4. Independent Contractor

You are an independent contractor. Nothing in this Agreement creates a partnership, joint venture, agency, franchise, or employment relationship between you and DeGenito Innovations, LLC. You have no authority to bind us to any agreement or obligation. This arrangement is non-exclusive — you may work with other companies, and we may work with other partners. Either party may terminate this Agreement at any time by providing written notice.

5. Commission Continuation

Commissions continue for as long as your referred clients remain active and paying subscribers. If a referred client cancels, upgrades, or downgrades, commission adjustments will reflect the client's actual subscription status for that month. Commission payments cease for a referred client in the month following their cancellation.

6. Governing Law and Arbitration

This Agreement is governed by the laws of the State of Wyoming, without regard to conflict of law provisions. Any dispute arising out of or relating to this Agreement that cannot be resolved informally shall be resolved through binding arbitration in Sheridan, Wyoming. Each party waives any right to a jury trial or class action participation.

7. Entire Agreement

This Agreement constitutes the entire agreement between you and DeGenito Innovations, LLC with respect to the partner program and supersedes any prior representations, including information on our partners page or FAQ. Submitting a partner application and having a referral accepted constitutes your acceptance of this Agreement. We may update this Agreement from time to time; material changes will be communicated by email.
