Terms of Service

These Terms of Service ("Terms") govern your access to and use of DeGenito Innovations, LLC's website (degenito.ai) and AI-powered organic growth services ("Services"). By accessing our website or subscribing to our Services, you agree to be bound by these Terms. If you do not agree, do not use our Services.

1. Acceptance of Terms

By using our Services, creating an account, or submitting an onboarding form, you represent that you are at least 18 years of age, have the legal authority to enter into this agreement, and agree to be bound by these Terms and our Privacy Policy. If you are entering into this agreement on behalf of a business entity, you represent that you have authority to bind that entity.

2. The Service

DeGenito Innovations, LLC provides AI-powered organic growth services, which include:

• A professionally built website provided at no charge as part of the service relationship
• An optional monthly AI growth engine subscription that delivers ongoing SEO content, AI search optimization, Google Business Profile management, and performance reporting

All paid subscriptions are month-to-month with no long-term contracts. You may cancel at any time. We make no guarantee of specific ranking outcomes, traffic levels, or revenue results, as results depend on factors outside our control including market conditions, competition, and search engine algorithm changes.

3. Ownership and Intellectual Property

Client Ownership

You own your website and all content generated by our AI on your behalf. All deliverables — including the website, SEO articles, schema markup, and generated copy — are provided to you as work made for hire. Upon cancellation, your website files and domain are transferred to you.

Platform IP

DeGenito Innovations, LLC retains all intellectual property rights in its platform, proprietary systems, AI workflows, software, and tooling. You may not copy, reverse-engineer, resell, or create derivative works from our platform or proprietary methods.

4. Billing and Cancellation

Payment

Paid subscriptions are billed monthly in advance via Stripe. By subscribing, you authorize us to charge your payment method on file each month on the anniversary of your start date. Failed payments may result in service suspension after 5 business days.

Auto-Renewal

Subscriptions renew automatically each month until cancelled. You may cancel at any time by emailing legal@degenito.ai or through your account settings.

Refunds

Monthly subscription fees are non-refundable. If you cancel during a billing period, your service access continues through the end of that period. We do not issue prorated refunds for partial months.

Cancellation and Transfer

Upon cancellation, we will transfer your website files and domain to you and purge all client-specific data (schemas, articles, keywords) from our systems immediately. Onboarding records and form submissions are retained per the schedule in our Privacy Policy.

5. Acceptable Use

You agree not to use our Services to:

• Violate any applicable law or regulation
• Submit false, misleading, or deceptive business information
• Infringe on the intellectual property rights of any third party
• Engage in spam, phishing, or any form of malicious activity
• Attempt to reverse-engineer or access our platform systems without authorization
• Resell or sublicense our Services without written permission

We reserve the right to suspend or terminate your account immediately for violations of this section without refund.

6. Limitation of Liability

Our Services are provided "as is" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. To the maximum extent permitted by applicable law, DeGenito Innovations, LLC and its officers, directors, employees, and agents shall not be liable for:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Service interruptions caused by third-party platform downtime, API unavailability, or search engine algorithm changes
• Any results or outcomes from SEO or AI-generated content

Our total aggregate liability for any claim arising out of or related to these Terms or our Services shall not exceed the total subscription fees you paid to us in the three (3) months immediately preceding the claim.

7. Termination

Either party may terminate the service relationship at any time. You may cancel by emailing legal@degenito.ai. We may suspend or terminate your access immediately if you violate these Terms, engage in fraudulent activity, or use our Services in a way that violates applicable law. Upon termination, your website files and domain are transferred to you.

8. Governing Law and Arbitration

These Terms are governed by and construed in accordance with the laws of the State of Wyoming, without regard to conflict of law provisions. Any dispute arising out of or relating to these Terms or our Services that cannot be resolved informally shall be resolved through binding arbitration administered in Sheridan, Wyoming under applicable arbitration rules. You waive any right to a jury trial or to participate in a class action lawsuit.

9. Changes to These Terms

We may update these Terms from time to time. We will notify active subscribers of material changes by email at least 14 days before they take effect. Continued use of our Services after the effective date constitutes your acceptance of the updated Terms.
